I was hired due to my transactional business/finance expertise, commercial/business judgment, and experience in entrepreneurial business environments.

EMS’s strategic plan involved rapid business expansion through acquisition and melding multiple lines of business into integrated product/service offerings to the upstream energy, natural gas pipeline, and power generation sectors.

I “parachuted” into a challenging role as the company’s general counsel with a mandate to oversee, advise and act upon legal/contractual aspects of commercial and finance matters; structure/negotiate joint ventures, strategic alliances and acquisitions; supervise contract administration/insurance functions; support HR; steward corporate governance matters; and manage outside counsel and a busy litigation docket.

Multiple acquisitions – mostly debt financed – had resulted in a multi-tiered and complex capital structure. By the time I joined the company, its senior creditor had begun an effort to buy out the junior creditors in order to bolster its position in the capital structure, simplify potential cross-creditor issues, and more directly influence future direction of the Company.

Management, the senior lenders and I worked in tandem to restructure and recapitalize the balance sheet and resolve operational deficiencies. Numerous legal and other matters arising from these activities offered both opportunities and demands, including analysis and resolution of complex legal, tax, and financial issues. By leveraging my own professional skills, experience in commercial negotiation, and by carefully managing and maximizing support provided by outside counsel, I was able to provide significant value.

Ultimately, the key elements of the strategic repositioning plan were realized. The balance sheet was recapitalized with debt eliminated or converted to equity, leading to a solid financial footing and positioning the company for continued growth and profitability.

In 2004 I was in Hong Kong working with Arctas Capital on an M&A assignment involving the sale of a Hong Kong-based independent power producer with plants in China, Taiwan & Korea. I was profoundly impressed with the economic vitality of Southeast Asia and decided to relocate to Vietnam, starting my own import/export business while prospecting for additional attractive business opportunities.

Shortly thereafter, I was contacted by AIG’s worldwide consumer finance division and asked to assist AIG in obtaining a license to operate a start-up finance business in Vietnam. I quickly accepted and was retained – initially – to spend 20% of my professional time as a consultant, working with and directing local counsel in preparing and submitting the license application, and meeting with representatives of the State Bank of Vietnam to further the process. This included drafting a business plan, familiarizing myself with the legal requirements for non-bank finance companies in Vietnam, working with local counsel to complete the application, meeting governmental representatives, etc. I found there was a great deal of work to do, and AIG’s consumer finance group had no other manpower resources in Vietnam to execute on the project. As a result, I wound up spending the vast majority of my time working on it.

About 2 months into the project, I was offered the position of General Director (CEO) of the new consumer finance business, which I eagerly accepted. Vietnam was forecasted to become a tremendously attractive market that was growing rapidly. My responsibilities expanded, including a full array of startup activities, e.g., developing financial projections, recruiting local staff, securing office space, performing consumer market research, and coordinating with central HQ/divisions to design, launch and run the operation.
